.:	Power Generation – Westcom Energy [2006 +] Counsel to Westcom in respect of the application for a license to construct and operate a phased 1000MW power plant. We advised on Licensing and are negotiating the feedstock Gas Supply and Purchase Agreement, the Power Purchase Agreement, the Power Evacuation Pan, Financing and Construction.
.:	Oil & Gas Bid Round – ONGC Videsh Limited [2006 +] Counsel to ONGC in respect of the acquisition of participating interests in Oil Prospecting Licenses 246 relinquished from South Atlantic Petroleum Limited by the Nigerian Department of Petroleum Resources.

.:	Gas process plant – BSGE LITWIN [2006 + Counsel to BSGE Litwin in respect of the establishment of a gas processing facility offshore Niger Delta.
.:	LNG Sale & Purchase – CHENIERE [2006 + Advisers to Cheniere in respect of the purchase of liquefied natural gas from LNG producers in Nigeria.
.:	Share Acquisition – BSGE LITWIN [2006 + Counsel to BSGE Litwin for the due diligence exercise in respect of the acquisition of controlling shares in DWC Drilling, Nigeria.
.:	Oil & Gas Acquisition – BSGE LITWIN [2006 +] Counsel to BSGE Litwin in respect of the acquisition of controlling shares in Consolidated Petroleum S.A., holder of a 25% interest in Oil Mining Lease 56.
.:	Oil & Gas Acquisition – CNOOC [2006 +] Counsel to CNOOC in respect of the acquisition of licensing rights to Oil Prospecting License 281 in consortium with the Nigerian company, West Coast Petroleum Limited.
.:	Oil & Gas Acquisition – ONGC Videsh Limited [2005 + Counsel to ONGC in respect of the acquisition of participating interests in Oil Prospecting Licenses 323 & 321.
.:	Oil & Gas Acquisition – ONGC Videsh Limited [JDZ between Nigeria & Sao Tome & Principe [2005 +] Counsel to ONGC in respect of the acquisition of a 9% interest in Block 2 of the Nigeria Sao Tome Joint Development Zone.
.:	Oil & Gas Acquisition – CNOOC [2005 +] Counsel to CNOOC in respect of the acquisition of controlling shares in Sinosure/AERD, holder of a 40% interest in Oil Prospecting License 229.
.:	Oil & Gas Acquisition – ONGC Videsh Limited [2005 +] Counsel to ONGC, on a no conflict basis, in respect of the multi billion dollar acquisition of a 10% interest in Oil Mining Lease 130.
.:	Oil & Gas Acquisition – CNOOC [2005 +] Counsel to CNOOC in respect of the $2 billion acquisition of a 10% interest in Oil Mining Lease 130.
.:	Independent Power Project - Sao Tome & Principe [2005 +] Counsel to the promoters and sponsors of the first independent power project in the Republic of Sao Tome & Principe. Advising on cross border laws and practices, licensing, establishment, environmental, regulatory, policy, tax, financing, sale and marketing issues.
.:	Vendor financing - Nigerian telecommunications Company [2004] Counsel to the Nigerian Telecommunications Company in respect of the $250,000,000 network expansion project. We negotiated bid and financing terms with Siemens of Germany and Huawei of China on behalf of the client.
.:	Deep Offshore Oil Field Licensing – JDZ between Nigeria & Sao Tome & Principe [2004 +] Nigerian Counsel to a major Chinese oil corporation interested in participating in a major oil concession in the joint development zone between Nigeria and the Republic of Sao Tome & Principe. As well as the due diligence exercise, we are advising on farm-in and financing issues.
.:	LNG Project Establishment - Brass LNG Project, Nigeria [2005 +] Counsel to the Brass LNG Project Company in respect of land acquisition and social and environmental issues. Advised on the due diligence exercise.
.:	LNG Financing - Nigeria LNG Plus Expansion Project [2001 – 2003] Lead Counsel to lenders to the award winning Nigeria LNG Plus expansion project. Advising the club of arrangers, the international financing institutions, export credit agencies, and the English solicitors, in respect of the US$1 billion third party non-recourse financing for the construction of the 4th and 5th LNG Trains and associated facilities. Advised on establishment, environmental, regulatory, policy, tax, financing, sale and marketing issues.
.:	Marginal Oil Field Farm-In - Dongsheng Petroleum - [2003 +] Counsel to the Chinese national oil company in respect of participatory and financing interests in a number of marginal field operations in Nigeria.
.:	Offshore lending - Financierings-Maatschappij voor Ontwikkelingsladen [2003] Collateral Agent to FMO in respect of the $10,000,000 offshore financing of Access Bank Plc for on lending to oil and gas projects in Nigeria.
.:	Gas Gathering & Utilisation Project - Cawthorne Gas Project [1999-2002] Counsel to the project sponsors, the Houston, Texas based Global Energy and Refining, in respect of the Cawthorne Gas Gathering, Re-Injection and LPG extraction project. Advising in respect of the supply of gas by the Shell/NNPC Joint Venture.
.:	Heavy tar sands seismic acquisition – ConocoPhillips & Global Minerals [2001] Counsel to the project sponsors in respect of the survey, data acquisition and data analysis of the heavy tar sands located along Nigeria’s heavy oil belt. Advised on mining, environmental and regulatory issues.
.:	Oil & Gas asset valuation – NNPC [2001-2003] As Counsel to NNPC, we facilitated the appointment of the US based technical consultants, Barnes & Click, and worked with the NNPC and the Consultants in formulating and executing the terms of reference for evaluation of Nigeria’s downstream, refining and petrochemical assets.
.:	Mining acquisitions - Ressources Abd’or Inc. [2001] Counsel to the Canadian company, Ressources Abd’or Inc., in respect of the takeover of Global Minerals Limited, with particular emphasis on the securitisation and protection of its $500,000,000 Cote d’Ivoire based mining concessions, to be applied as payment for equity in the Nigerian entity and pursuant to an acquisition arrangement to be financed and guaranteed by the ADB.
.:	Export Credit Guarantee Cover - ECGD etc. Prior to the withdrawal of political and credit risk support, our members acted, as exclusive representatives of the British Export Credit Guarantee Department, reviewing documentation in respect of a range of major transactions in which the ECGD provided political/credit risk cover, including – The Nigeria Rehabilitation Line of Credit The Niger State / Biwaters / Morgan Grenfell transaction The Delta Glass / Morgan Grenfell credit transaction The Sokoto State / Nigerian Bank for Commerce and Industry / Barclays Bank Credit transaction The Bauchi State Rural Electrification Project / Samuel Montagu credit transaction The Ondo State Investment Corporation / Midland Bank credit transaction The Nigerian National Petroleum Corporation / Ericcsson / Morgan Grenfell vendor transaction Most of these transactions were carried out on a historical basis, in our capacity as members of the oldest Nigeria law firm, Irving & Bonnar in Association with Bentley Edu & Co.
.:	Ship financing – Alfred James technical Limited [1999] Counsel to Alfred James Technical Limited in respect of the acquisition of a $60,000,000 sea going vessel from Care Offshore Productions Inc. Participated in negotiating a ship mortgage facility with the Investment Bankers, Merrill Lynch.
