Ugo head's the firm's Information Communications and Technology Group. Called to the Nigerian Bar in 2004, he obtained his Bachelor of Laws Degree, LL.B with Second Class (Upper Division) in 2003 from the University of Nigeria, Nsukka and holds a Masters Degree in Oil & Gas Law from the University of Aberdeen, Scotland.

Ugo has more than a decade of banking experience, having previously worked in-house at the top level with some of the leading commercial banks in Nigeria. He joined the firm in April 2015 as a Senior Associate, and has since then been involved in a considerable range of transactions spanning banking and finance, power and energy as well as ICT and telecommunications.

Ugo possesses a deep understanding of the Nigerian banking sector, the impact of local and international regulations and the convergence of Information Communications Technology with the law; this has served him well in advising clients on international banking and IT best practices.

Ugo has exceptional interest and expertise in global ICT and Telecommunications law; and this has served him well to work as a foreign lawyer (on a Secondment basis) at one of the top ICT law firms in India where he was exposed toIT and Telecoms Law and Practice in India as well as the protection of Software Intellectual Property Rights.

Transaction Experience:

  • A part of the firm’s team that standardize the retail loan documentations of a leading commercial bank in Nigeria;
  • Reviewed the finance loan documents of a leading bank for the purpose of identifying the various risk areas in the documents as currently drafted;
  • Advised a consortium of investors on the financing and investment options to adopt towards the construction, operations and management of a power plant facility;
  • Facilitated interactive sessions with relevant departments of the banks for the purposes of appreciating its operations and the rationale underlying the structure of some of the clauses in the finance documents;
  • Reviewed and drafted contractual documents for an independent power generating company including but not limited to Consortium Agreement for pre-qualification for the Engineering, Procurement and Construction (‘EPC’) of power plant, Power and Purchase Agreement (‘PPA’); EPC Agreement, Operations and Maintenance (‘O & M) Agreements; Gas Purchase Agreement as well as Gas Supply Agreements;
  • Reviews and draft a wide range of contractual documents for a Nigerian Meter Manufacturing Company. Such documents as Non-Disclosure and Non-Circumvention Agreement; Product Development Agreement; Product Supply and Installation Agreement (with particular focus on the CAPMI scheme);
  • Reviews and draft IT contractual documents for an IT company that provides messaging and mobile transaction services in the financial services sector. Such documents as Service Level Agreement, Application Programming Interface (‘API’)/Software Licensing Agreement; Revenue Sharing Agreement, etc.
  • Reviews and identify key risk areas in software contracts for Software Vendors in Nigeria.
  • Provides and delivers lectures and/or presentations to Software/IT clients on the key negotiation areas in every Software contract.
